1. Introduction
Sprut Group B.V., a company registered in Curacao under registration number 149459, with its registered office at Abraham Mendez Chumaceiro Boulevard 03, Willemstad, Curacao, operates the SpinBet Partners Affiliate Program (“Program”). By participating in this Program as an affiliate (“Affiliate”), you agree to comply with the following terms and conditions (“Agreement”) along with any amendments made by the Program.
2. Definitions
For the purpose of this Agreement, the following terms apply:
- Brand Traffic: Traffic generated by searches containing the names of Program-related projects, including misspellings.
- Motivated Traffic: Users who complete actions qualifying as conversions in exchange for money or other incentives.
- GGR (Gross Gaming Revenue): The total bets placed minus the total winnings paid.
- Payment System Commissions: Fees charged by payment providers.
- Royalty Fees: Commissions paid to game providers.
- NGR (Net Gaming Revenue): Revenue after deductions for commissions and fees.
- RevShare: The percentage of NGR paid as a commission to the Affiliate.
- CPA (Cost Per Acquisition): A one-time payment for specific actions a customer completes.
- Offer: A commercial proposal available to Affiliates under specific terms and conditions.
3. General Terms and Conditions
3.1. By registering for the Affiliate Program, the Affiliate agrees to these terms.
3.2. Affiliates must be at least 18 years old.
3.3. The Program reserves the right to verify the accuracy of information provided by the Affiliate and may suspend or terminate accounts if false or misleading information is detected.
3.4. Affiliates are responsible for safeguarding their login credentials. The Program is not liable for unauthorized access due to inadequate security measures.
3.5. The Program may refuse cooperation with any Affiliate without providing a reason.
3.6. Selling or transferring accounts is strictly prohibited.
3.7. The Program may modify these terms without prior notice.
3.8. This Agreement does not establish a joint venture, partnership, or employment relationship between the Affiliate and the Program.
4. Traffic Sources and Restrictions
4.1. The Program may request details about traffic sources at any time.
4.2. Failure to provide requested traffic source information may result in suspended payments.
4.3. Affiliates using websites must provide URLs, while media advertisers must submit sample ads or screenshots.
4.4. Translations of advertising materials may be required if the Program does not support the language used.
4.5. Spam email campaigns are prohibited. Violation may result in account termination and forfeiture of commissions.
4.6. Brand traffic usage is restricted and must be pre-approved.
4.7. Use of look-alike domain names or project names is forbidden.
4.8. Motivated traffic is strictly prohibited and may result in account termination.
5. Commissions and Payments
5.1. The standard RevShare commission ranges from 20% to 55%, calculated as: (Bets – Wins – Payment Fees – Royalty Fees) × RevShare % = NGR × RevShare %
5.2. Affiliates can participate in CPA or Hybrid (CPA + RevShare) programs, subject to individual agreements.
5.3. Affiliates failing to generate new players for a month may see their RevShare reduced to a minimum of 20%.
5.4. RevShare rates are dynamically adjusted based on the number of first-time depositors (FTDs).
5.5. Negative balances may be carried over to subsequent billing periods unless performance thresholds are met.
5.6. Affiliates introducing new sub-affiliates can earn referral bonuses between 3-5% of their sub-affiliates NGR earnings.
5.7. Depending on traffic volume and quality, Payment plans vary from NET 7 to NET 60.
5.8. The minimum withdrawal is 50 EUR for payment systems and 500 EUR for bank transfers.
5.9. Payment details must be accurate. The Program is not responsible for errors in details provided by the Affiliate.
5.10. The Program may withhold payments for verification if player activity appears suspicious.
6. Use of Promotional Materials
6.1. Affiliates may not use Program assets for their own projects without permission.
6.2. Unauthorized modifications to Program logos or branding elements are not allowed.
6.3. Affiliates must use only pre-approved promotional materials.
6.4. False or misleading advertising is prohibited and may lead to termination.
7. Fraud Prevention and Rule Violations
7.1. Affiliates may not register personal accounts using their referral links.
7.2. Any fraudulent activities may result in adjusting the Affiliate’s balance or withholding of commissions.
7.3. The Program reserves the right to terminate cooperation with Affiliates involved in deceptive practices.
7.4. Affiliates found engaging in spam, misleading advertising, or unethical behavior may be banned.
8. Non-Competition Clause
8.1. Affiliates may not attempt to damage the Program’s reputation or solicit its employees for six (6) months following the termination of this Agreement.
9. Liability and Disclaimers
9.1. The Program is not responsible for indirect, incidental, or consequential damages arising from participation in the Affiliate Program.
9.2. The Program is not liable for external factors such as technical failures, internet issues, or force majeure events.
10. Final Provisions
10.1. The Program may assign this Agreement without prior notice, and the Affiliate may not transfer rights under this Agreement without consent.
10.2. This Agreement may be updated at any time. Affiliates are responsible for staying informed of changes.
10.3. If any provision of this Agreement is found invalid, the remaining provisions shall remain in full effect.
10.4. This Agreement is available in English and Russian. In case of discrepancies, the English version prevails.
10.5. The governing law of this Agreement is the law of Curacao, and disputes shall be resolved in the courts of Curacao.
